Terms of Service These Terms of Service (“Terms”) apply to anyone submitting information of any kind to the HostBuyout.com web site, the (“Site”), which is owned and operated by Aditz, LLC, the (“Company”), or accessing information of any kind on the Site. By registering at, or continuing to use, the Site, YOU, the (“Customer”), hereby agree to the following Terms:
1. INDEMNIFICATION
Customer agrees to indemnify, defend, and hold harmless Company from any and
all liability, penalties, losses, damages, costs, expenses, attorneys' fees,
causes of action or claims caused by, or resulting indirectly from, its use
of the Site which damages either Customer, Company, or any other party or parties
without limitation or exception. This indemnification and hold harmless agreement
extends to all issues associated with Customer's use of the Site.
2. REFUSAL OR DISCONTINUANCE OF SERVICE
Company reserves the right to refuse or discontinue service to anyone at our
sole discretion. Company may deny Customer access to all or part of the Site
without notice if Customer engages in any conduct or activities that Company,
in its sole discretion, believes violates any of the Terms. Company shall have
no responsibility to notify any third-party providers of services, merchandise,
or information, nor any responsibility for any consequences resulting from such
discontinuance or lack of notification. Company reserves the right to refuse
to post or to remove any information or materials, in whole or in part, that,
in Company's sole discretion, are unacceptable, undesirable, or in violation
of the Terms.
3. NO WARRANTIES OR GUARANTEES
Company makes no warranties or representations of any kind for the Site. The
Site is provided on an "as is" and "as available" basis
without warranties of any kind, either express or implied, including but not
limited to warranties of title, non-infringement, or implied warranties of merchantability
or fitness for a particular purpose. No advice or information given by Company
or its agents or employees shall create a warranty. Company provides no warranty
that the service will be uninterrupted or error free or that any information,
software or other material accessible on the service is free from viruses or
other harmful components. Under no circumstances shall Company be liable for
any direct, indirect, special, punitive, or consequential damages that result
in any way from Customer's use of, or inability to use, the Site or any third
parties' reliance on, or use of, information, services, or merchandise provided
on or through the Site, or that result from mistakes, omissions, interruptions,
deletion of files, errors, defects, delays in operation or transmission, or
any failure of performance. If Customer is dissatisfied with the Site or any
of its terms, conditions, rules, policies, guidelines, or practices, its sole
and exclusive remedy is to discontinue using the Site.
4. MEMBERSHIP RIGHTS AND OBLIGATIONS
By registering at HostBuyout.com, Customer agrees that its account and its associated
rights are granted to it exclusively and shall not be assigned, shared, viewed,
distributed, or otherwise made available to any 3rd party. Customer further
agrees that by registering at HostBuyout.com, it grants Company the right to
contact it via email, phone, or fax for any purpose deemed appropriate by Company.
5. USE OF INFORMATION
Customer hereby acknowledges and agrees that all content made available to it
on the Site is reserved for members only will be kept confidential and be protected
as a trade secret of Company. Company does not ensure the accuracy of said content
and Customer uses such Content at the Customer's own risk. CUSTOMER AGREES NOT
TO DISTRIBUTE ANY INFORMATION ACCESSED AT HOSTBUYOUT.COM
6. IDENTIFICATION INFORMATION
Customer agrees that, as the person legally responsible for use of this Site
and any related accounts, it is at least 18 years of age. Customer further agrees
to provide Company with a current and truthful name, email address, postal address
and telephone number for our records, and that Customer has a continued obligation
to keep this information current.
7. NO INTERFERENCE WITH OPERATION OF SYSTEM
Customer agrees not to maliciously or intentionally interfere with the proper
operation of the Site, including, but not limited to, defeating identification
procedures, obtaining access beyond that for which Customer is authorized, and
impairing the availability, reliability, or quality of service for other customers.
8. SECURITY
Customer agrees that the security of its account is solely its responsibility.
Customer further agrees that if it believes the security of its account has
been compromised in any way, it will notify Company immediately in writing.
Customer shall be held fully responsible for any misuse or compromise to its
account of which Company is not properly notified. Customer agrees that if any
security violations are believed to have occurred in association with its account,
Company has the right to suspend access to the account pending an investigation
and resolution. Customer also agrees that Company has the right to cooperate
in any government or legal investigation regarding any aspect of the Site, including
services provided to Customer.
9. SEVERABILITY
If any provision of the Terms is determined to be invalid or unenforceable,
all other provisions shall remain in full force and effect and said provision
shall be reformed only to the extent necessary to make it enforceable.
10. APPLICABLE LAW, JURISDICTION, AND SERVICE
The Terms shall be governed by the applicable laws of the State of Indiana and
the United States of America. Customer agrees that all services provided by
Company shall be deemed to have been requested and provided in Tippecanoe County,
Indiana. Customer agrees to accept service of process related to the Terms by
ordinary mail, postage prepaid, to the most recent address provided by Customer.
11. ACKNOWLEDGEMENT
By placing or accessing information on the Site, YOU are stating and acknowledging
that you have read the aforementioned Terms and that you understand such terms
and conditions and agree to be bound by them.
